Part A – General
These terms of use (the “Terms”) govern your use and access to our services, which includes our website(s), our mobile application(s), our application programming interfaces, notifications and all other information and content appearing therein (collectively our “Platform”).
By using and/or accessing our Platform, you agree to these Terms. Use of our Platform constitutes acceptance of these Terms and forms a legally binding contract between you and Boutir in relation to your access to and use of our Platform. If you are using our Platform on behalf of an entity, you will be deemed to have authority to act on behalf of that entity and are agreeing to these Terms on behalf of that entity.
In addition to these Terms, Customers please click for additional terms that apply to your use of our Platform. Merchants please click for additional terms that apply to your use of our Platform.
1. Definitions and Interpretations
In these Terms, the following definitions apply:
We / Boutir:Boutir Limited, a company incorporated in Hong Kong with its registered office situated at Unit 1201-1204, Texwood Plaza, 6 How Ming Street, Kwun Tong, Kowloon, Hong Kong and online at: http://www.boutir.com.You / User:Any party accessing or using our Platform whether as a Merchant, Customer or casual browser.Merchant:The business entity and/or the individual, whether fee paying or non-fee paying users of the Platform, to create its online store for the purpose of offering products or services via our Platform.Customers:The business entity(ies) and/or individual(s), visiting the Merchant’s online store as registered or unregistered members.
2. Your Representations
- Our Platform is not intended for and may not be used by minors. By using our Platform, you represent that you are an adult and that you are able to legally enter into contractual agreements.
- If you are using the Platform on behalf of an entity, by using the Platform you represent that you have the necessary rights and authority to agree to these Terms, including our Privacy Policy http://www.boutir.com/privacy and other documents referred to herein on behalf of that entity.
3. Our Platform
- Our Platform is merely a SaaS (Software-as-a-Service) solution tailored to enable Merchants to build and operate their online stores to display their product and/or service catalogue, to sell products/services, to facilitate payments by Customers and communication between Merchants and their Customers via proprietary third party platforms not limited to Whatsapp and Facebook. Merchant registers to use the Free Trial of our Platform or subscribes to use the advanced version on a subscription basis (“Subscription Plan”).
- Stores created by Merchants on the Boutir Platform are open for Customers to visit, browse, purchase for products and services they want. Customers can register at the Store as member of the Store to have personalised shopping experience or they can shop as guest without registering as member.
4. Your Account
- In registering for an account on our Platform or subscribing to the Subscription Plan as a Merchant or as a Customer for personalised shopping experience, you will be required to provide certain information, including but not limited to your username, password, full name of the individual or registered user or the business, a suitable password, an email address and valid phone number (“Account Information”). Merchants are not required to provide a username. They are identifiable by their email, store name and/or store URL. You agree that all Account Information provided shall be truthful, accurate and up-to-date. You should choose a strong and secure password. You must keep your password secure and confidential.
- You agree not to share your Account Information or give others access to your account. If and when we detect that an account is shared by multiple Users, we may treat this as a security breach and suspend, disable or terminate your account without notice. We have the sole discretion to suspend, disable or terminate any account at any time without liability, if in our reasonable opinion, you are in breach of the Terms.
- You are responsible for all actions or activities that occurred through or under your account, unless you report misuse on a timely basis. If you permit others to use your account and/or Account Information, you are responsible for the activities of such users that occur in connection with your account and/or Account Information.
- If you ever forget your Account Information or believe or know that there has been any (attempted) unauthorised use of your account and or Account Information, you shall inform us immediately at report@boutir.com.
- All accounts are non-transferable. If you are accessing or using an account on behalf of another person or entity, you represent that you are authorised to accept these Terms on that person’s or entity’s behalf and that the person or entity agrees to be responsible to us if you or the other person or entity violates these Terms.
- Store names and usernames must not be offensive or offend common decency, or intended to deceive subscribers or convey the appearance of affiliation with Boutir. We reserve the right, to:
- amend any store name or username without prior notice if we reasonably believes the store name or username to be in contravention of the Terms; and/or
- suspend and/or disable your account until the name is changed.
5. Availability of our services
- We are constantly changing and improving our Platform and the products or services we provide. We may from time to time change or discontinue any of the products or services feature on our Platform, or add or remove functionalities or features, and we may suspend or stop certain products, services, functionalities or features altogether. We reserve the right to make the above changes at any time without any notice.
- We may release products, services, functionalities or features of our Platform that we are still testing and evaluating. We will label these as “beta”, “preview”, “early access” or “trial” or any words or phrases with similar meanings which indicate that the products, services, functionalities or features are under development. By continuing to use our Platform, you acknowledge that these beta services may not be as reliable as other products or services we offer and may be subject to service disruption and you agree to be bound by these Terms in relation to those beta features.
- We try our best to ensure that our Platform is always available, but we do not guarantee or offer any warranties that the operation of or access to our Platform will be uninterrupted or continuous. Our Platform may be interrupted for maintenance, repairs, upgrades, network or equipment failures. Boutir is not liable for any losses claimed due to interruption or disruption to the Platform under any circumstances.
- You are responsible for configuring your information technology, computer programmes and platform or system in order to access our Platform. Boutir does not guarantee that the Platform will be free from bugs and/or viruses and will not be responsible for any direct or indirect loss or damage that results from bugs and/or viruses contacted via using our Platform.
6. Use of the platform
- When using or accessing the Platform, you agree to comply with these Terms and all applicable laws and regulatory requirements, including those related to privacy and protection of intellectual property.
- The Platform is currently made available to you with free trial but also for a subscription fee for commercial use. Boutir reserves the right to amend or withdraw the Platform and/or the fee structure for the Platform without notice in accordance with these Terms at any time and for any reason, without incurring liability.
- In exchange for the Customer or Merchant registering with the Platform or the Merchant subscribing to the Subscription Plan, we grant Customers or Merchants a personal, worldwide, royalty-free, non-assignable, non-transferrable, non-sublicensable, non-exclusive and revocable licence to access and use our Platform, including any software or application as part of the services we offer. This licence is for the sole purpose of enabling you to use and enjoy the benefit of our Platform as a Customer or Merchant subject to these Terms and the additional terms set forth in Part B or Part C of these Terms for Customer or Merchant respectively.
- This licence to use our Platform will terminate if you fail to comply with these Terms or other additional terms.
- You agree not to misuse the Platform or help anyone else to do so. Without reservation, you agree not to do any of the following in connection with our Platform: use our Platform for unlawful or unauthorised purposes;
- copy, modify, distribute, sell, lease, loan or trade any access to the Platform or any data or information on it;
- re-sell or attempt to benefit commercially from any data, content or information available in or on the Platform;
- probe, scan, or test the vulnerability of any system or network;
- breach or otherwise circumvent any security or authentication measures or service use limits;
- access, tamper with, or use non-public areas or parts of the Platform;
- interfere with or disrupt any user, host, or network, for example by sending a virus, trojan, worm, logic bomb, or any other material that is malicious or technologically harmful, overloading, flooding, spamming, or mail-bombing any part of the Platform, or by scripting the creation of any content in such manner as to interfere with or create an undue burden on the Platform;
- reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Platform or any related technology that is not open source;
- access, search, or create accounts for the Platform by any means (automated or otherwise) other than our publicly supported interfaces (for example, “scraping” or creating accounts in bulk) or attempt to do so;
- send unsolicited communications, promotions or advertisements, or spam;
- forge any TCP/IP packet header or any part of the header information in any email;
- send altered, deceptive, or false source-identifying information, including “spoofing” or “phishing”;
- conduct surveys, contests, or pyramid schemes, or promote or advertise products or services without appropriate authorisation;
- abuse referrals or promotions;
- post, publish, upload, display, distribute, or share materials that are unlawful, inappropriate, profane, pornographic, obscene, indecent, libellous, defamatory, abusive, or knowingly false, and/or that infringe intellectual property rights;
- violate the letter or spirit of our Terms;
- violate applicable laws or regulations in any way; and/or
- violate the privacy or infringe the rights of others.
7. Your rights
- We hereby grant you a worldwide, limited, non-exclusive, non-transferable, non-licensable, non-sub licensable, royalty-free and revocable licence to use our Platform for your personal or business use in accordance with these Terms.
- You may not assign your rights provided for under these Terms without our prior written consent. We may assign the Terms and delegate certain responsibilities, obligations, and duties under or in connection with the Terms in our sole discretion.
- We reserve all rights, title and interest not expressly granted under the above-mentioned license to the fullest extent possible under applicable laws.
- You retain your rights to any information or content you submit, post or display on or through the Platform (“Your Content”). By submitting, posting or displaying such content, you grant us a worldwide, non-exclusive, royalty-free licence (with the right to sublicense) to use, process, copy, reproduce, adapt, modify, publish, transmit, display and distribute such content in any and all media or through any distribution channels (now known or later developed), subject to the applicable provisions in our Privacy Policy http://www.boutir.com/privacy.
- You are responsible for your use of Your Content and any consequences thereof, including any consequences of the use of Your Content by other Users or third parties. We are not responsible or liable for any use of Your Content, nor the use of any content or information submitted or posted by other Users or visitors.
- You warrant that Your Content is not and will not infringe rights of any third parties and that you have all the necessary rights, power and authority to satisfy your obligations with regard to Your Content under these terms.
8. Our rights
We may (at our discretion but are not obliged to) review content or information submitted or posted by Users on our Platform. We reserve the right to remove any content which we consider as offensive, harmful, deceptive, discriminative, defamatory or otherwise inappropriate or misleading, or content that we believe may be infringing rights of third parties. We do not endorse or support any views expressed by any Users on our Platform.
9. Intellectual Property
- Our name “Boutir” and our marks and logos are our trade marks (whether or not they are registered or unregistered) and may not be used without our express prior written consent.
- All trademarks, trade names, service marks, logos, copyrights, database rights, and other intellectual property rights of any nature on the Platform, including all information, data, text, music, sound, images, photographs, graphics, illustrations and video messages, page headers, button icons, scripts, arrangement and presentation thereof together with the underlying software code, source code, software compilations, tools, application, slogans, filters, User generated filters and other content contained therein (collectively, “Material”) are owned directly by us. You acknowledge that you have no ownership rights in or to any (part of) the Material. We reserve all rights to take any legal action in relation to any right applicable to the Material.
- All intellectual property rights subsisting in the Platform or the products or services we provide belong to us or have been lawfully licensed to us. All rights under applicable laws are hereby reserved.
- You may view, use, print or download extracts of the Material for your own personal use but you cannot otherwise use, copy, edit, vary, alter, reproduce, publish, display, distribute, store, transmit, commercially exploit, or disseminate in any form whatsoever any of the Material or use the Material in any manner which creates the impression that such items belong to or are associated with you without express written permission from us.
- Reporting Intellectual Property Rights Infringement:
- We have a policy of limiting access to our Platform and terminating the accounts of Users who infringe the intellectual property rights of others. If you believe that anything appearing on our Platform infringes any copyright that you own or control, you may notify us at report@boutir.com.
- Please note that if you knowingly misrepresent that any activity or Content or Material on our Platform is infringing, you may be liable to us for costs and damages to be ascertained.
10. Dispute Resolution
Boutir encourages Customers and Merchants to resolve disputes (including claims of refunds) with each other directly whenever possible. Boutir does not play any role in mediating disputes between any Customers and Merchants.
11. Third Party Software Integrations
Our Platform may integrate with third-party software to provide a full suite of functionalities to our Users. We are not responsible for any issues and/or direct or indirect losses arising from the use of any third-party software. Your access and use of the third-party software is governed by the terms of service and/or the user agreements of that software.
12. Advertisers on Platform
We accept no responsibility whatsoever for adverts featured on the Platform. If you agree to purchase goods and/or services from any Merchant or third party that advertises on the Platform, you do so at your own risk. The advertiser and Merchant (if the goods or services were purchased from or through one of the Merchants), not Boutir, is responsible for such goods and/or services and if you have any queries or complaints in relation to them, your only recourse is against them.
13. Limitation on liabilities
- To the fullest extent permitted by law, we (including our holding company(ies), subsidiaries, affiliates, directors, officers, employees, agents, representatives, partners and licensors (collectively, “Our Entities”)) expressly limit our liabilities in connection with or arising out of the provision of the Platform as follows:
- we provide the Platform and any products or services we offer on an “as is” and “as available” basis, and your access to or use of our Platform is at your own risk;
- we give no assurance, representation or warranty of any kind (whether express or implied) about the Platform and any products or services featured on our Platform;
- we do not guarantee that the information or content you find on the Platform is always accurate, truthful, complete and up-to-date;
- we expressly disclaim all warranties and representations (for example, warranties of merchantability, fitness for a particular purpose, and non-infringement);
- we are not responsible for any delay or disruption in our Platform or any defect, viruses, bugs or errors; and
- we are not responsible for the conduct of or any content or information submitted or posted by any user of the Platform (whether online or offline).
- Our role in managing the Platform is purely mechanical and administrative in nature. To the fullest extent permitted by law, Our Entities are not liable to you or any other parties for:
- any indirect, incidental, special, exemplary, consequential or punitive damages arising from or in connection with the use of the Platform;
- and/or any loss of data, business, opportunities, reputation, profits or revenues.
- Nothing in these Terms limit your legal rights as a consumer that may not be waived by contract.
- Other than the types of liabilities that we cannot limit by law, our liabilities to you (on aggregate) are limited to the amount you have paid us (if any) for the use of our Platform or for any products or services we offer over the last twelve (12) months.
14. Indemnity
- You agree to indemnify and hold Our Entities harmless from and against all liabilities, damages, claims, costs (including legal fees and costs), and expenses in connection with or arising from:
- any breach of these Terms by you,
- any sale and purchase between the Customer and the Merchant,
- your use of our Platform and/or
- any misrepresentation made by you on our Platform.
- You also agree to fully co-operate with Us in the defence or settlement of any claim in relation to or arising out of our Platform or these terms.
- We reserve the right, at your expense, to assume the exclusive defence and control of any matter subject to indemnification by you, and you agree to cooperate in such defence. We will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it/them. No settlement which may adversely affect our rights or obligations shall be made without our prior written approval.
- You agree to promptly notify Us of any third party claims and cooperate with Us in defending such claims and pay all fees, costs and expenses associated with defending such claims including, but not limited to legal fees. You agree not to settle any matter in which you have indemnity obligations towards us without our prior written consent.
15. Terminations
- We reserve the right, without notice, in our sole discretion and at any time, to terminate, revoke, suspend your right and ability to access or use our Platform or any part of it as well as to control who can use the Platform and request that you stop accessing or permanently destroy certain content or information available through the Platform. We may also modify, suspend, or discontinue the Platform. We are not responsible for any loss or harm related to our termination of your access or use of our Platform.
- You may stop using the Platform any time by deactivating your account, if you are a subscribing Merchant or registered Customer, or simply by ceasing to access or use our Platform.
- We reserve the right to suspend or terminate your access to our Platform, if we reasonably believe:
- you are in serious or repeated breach of these Terms (including a prolonged failure to settle any payment);
- you are using the Platform in a manner that would cause a real risk of harm or loss to us, other Users, or the public;
- we are requested to do so by government or regulatory authorities or as required under applicable laws, regulations or legal processes; or
- our provision of the Platform to you is no longer possible or commercially viable.
- In any of the above cases, we will attempt to notify you at the email address included in your Account Information or on your next attempt to access your account, unless we are prohibited from notifying you by law.
- Upon termination of your access, these Terms will also terminate except for Clauses 7 to 15 inclusive.
- Where we consider necessary or appropriate, we will report any breach of these Terms to law enforcement authorities and we will cooperate with such authorities by disclosing your identity and providing any information about you within our systems to them.
16. System Requirements
- In order to use the Platform, you are required to have a compatible mobile device, desktop or laptop, internet access, and the necessary minimum specifications (the “System Requirements”).
- The System Requirements are as follows: the app requires the device to be running Android 6.0 and/or iOS 13.0 or later.
- The software capabilities and System Requirements of our Platform may be upgraded from time to time to add support for new functions and services.
17. Entire agreement
- These terms constitute the entire agreement between any user and us in relation to the use of or any transactions on the Platform. These terms supersede and extinguish all other agreements, promises, assurances, warranties, representations and understandings between any User and Us, whether written or oral, in relation to the use of or any transactions on the Platform.
- You acknowledge that you will have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these terms.
18. Severability
- If any provision(s) of these Terms is held to be unlawful, void, invalid or unenforceable, then such provision(s) is deemed severable from these Terms and shall be construed, as nearly as possible, to reflect the intentions of the parties (as reflected in the provision(s)) and all other provisions shall remain in full force and effect.
- Any failure by Boutir to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Boutir in writing.
19. Changes of Terms
From time to time, we may amend these Terms by posting the updated terms on our Platform. If we make material changes, we will notify you of the changes before they become effective. By continuing to use our Platform and our services after the changes come into effect means that you agree to be bound by the revised Terms.
20. Miscellaneous
- We may transfer our rights and obligations under these terms to another organisation. If you do not wish to continue with the transferee whatever contract you had with us, you must notify us within fourteen (14) business days so we can refund you any payments you have made in advance for products or services which you have purchased but have not already been provided (if any). Failure to notify us within the 14 day period may result in forfeiture of outstanding payment amounts.
- You may only transfer your rights or your obligations under these Terms to another person if we expressly agree to this in writing.
- If a court or relevant authority finds any of these Terms invalid or illegal, the rest will continue in force. Each of these terms operates separately. If any court or relevant authority decides that any of them are unenforceable, the remaining paragraphs will remain in full force and effect.
- No party shall be liable to the other for any default resulting from force majeure, which includes any circumstances beyond the reasonable control of the parties.
- By using our Platform, you consent to receiving communications from Us electronically. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that you have the ability to store electronic communications such that they remain accessible to you in an unchanged form.
- If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breach of any of the terms herein, such delay or failure on our part does not signify that you do not have to comply with or make good any of the terms herein and it will not prevent us taking steps against you to enforce the terms at a later date.
21. Governing law and jurisdiction
- These terms are governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region.
- The courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms.
22. Feedback
- We value and welcome feedback on our Platform. You agree that we are free to use, disclose, adopt and/or modify any feedback and any information (including any ideas, concepts, proposals, suggestions or comments) provided by you to use in connection with our Platform or any products or services we offer, without any payment to you. - You hereby waive and agree to waive any rights to claim for any fees, royalties, charges or other payments in relation to our use, disclosure, adoption and/or modification of any of your feedback.
Part B – Customer’s Terms of Service
In addition to the Terms, the following additional terms shall apply to all Customers:
1. Purchases In Stores Featured On Our Platform
- Customer shall place orders with the Merchant as per the instructions provided in our Platform. All order(s) the Customer places with the Merchant are regarded as offers and the Merchant accepts the order(s) when our Platform emails you a confirmation. At this point, a contract between the Customer and the Merchant is formed but may be subject to the Merchant’s separate terms and conditions and/or terms of service (if any). We are not liable to any person or entity in relation to a sale and purchase of any goods or services featured on our Platform. We are not responsible for the enforcement of any contractual obligations between Merchants and Customers or as between Customers and any third parties responsible for fulfilment of any purchases. We shall not be held liable for any direct and/or indirect damages that may arise from or in connection with any sale and purchase.
- Once the Customer has placed an order and the Merchant has confirmed to ship or fulfil the orders, we will send the Customer an email for feedback on the goods and/or services providedn. We appreciate any feedback provided by the Customer which will be visible to other Customer visiting the Merchant’s store. We shall not be held liable or responsible for any claim arising out of or in connection with the content of any feedback.
- Boutir has no control over and can therefore not guarantee nor warrant the existence, quality, safety or legality of the products or services offered or advertised on our Platform, the accuracy, completeness or truth of any information, content or listings posted by any Merchant and/or User, the credit worthiness of any Merchant and/or User, the ability of Merchant to sell or Customer to buy, whether a particular product and/or service is suitable for a particular purpose or whether or not a particular Merchant and Customer will complete a particular transaction.
- You may find company information relating to each Merchant, including company background, shop address, contact emails and phone numbers, available on the Merchant’s website. For any questions or problems relating to the Merchant’s website, any products or services, you can contact the Merchant by telephoning, emailing or online messaging the Merchant.
- We are not involved in any transactions between Merchant and Customers and our role is solely that of providing a platform on which Merchant stores may be featured, by using our Platform, in which our Platform serves as a marketplace for Merchants and Customers. We do not process payments or participate in fulfilment of purchases on behalf of Merchants. Customer should choose their preferred payment method from among those methods made available by the Merchant. Customer must choose their preferred fulfilment method, including delivery from those offered by Merchants. All payment and delivery arrangements are governed by the Merchant’s Terms of Sale and the relevant terms of the electronic payment provider and fulfilment services provider (if any). We are not liable under any circumstances for any issues or losses arising out of and/or in relation to payments and delivery. As such, our role is merely mechanical and administrative in nature in that we make our Platform available for Merchants to establish and operate their online stores.
- When purchasing good and/or services through our Platform, you agree to comply with our applicable rules and policies from time to time in force. You are responsible for reading these Terms, our Privacy Policy http://www.boutir.com/privacy and other applicable rules and policies of the relevant Merchant(s) (collectively, the “Governing Terms”) before committing to order any goods and/or services. In placing any order you are deemed to have agreed to the Governing Terms.
- We are not an agent of any Customer or Merchant or third party.
- We may at our sole discretion (but we have no obligation to) check, audit and/or monitor the information contained in listings, comments and/or reviews posted by any Customer without notifying the concerned Customer.
- The images of the products and/or services on the online stores created by the Platform are for illustrative purposes only. The products and/or services that you purchase may vary from those images.
- Our Platform is solely for the performance and purchase of goods and/or services in countries in which we operate and is not limited to Hong Kong. Our mobile app is accessible and can be downloaded from anywhere in the world.
2. Customer’s Rights To Make Changes To Orders Placed
In the event that any Customer decides to vary an order that has already been placed with a Merchant for whatever reason (the “Change”), the Customer shall contact the Merchant directly. The Merchant’s terms of sale shall govern the Change and Boutir plays no part in the Change and shall not be held liable for any claims whatsoever arising out of or in connection with the Change.
3. A Customer’s Rights To End A Contract
If the Customer wishes the terminate a contract to purchase any product or service for for reasons not limited to any defect in all or part of the goods and/or services provided (the “Termination”), he or she shall contact the Merchant directly. The Merchant’s terms of sale shall govern the Termination and Boutir plays no part in the Termination and shall not be held liable for any claims arising out of or in connection with the Termination.
4. Return of Products & Refunds
- Customer has the right to return any product purchased from a Merchant but such right shall be governed by the relevant terms of the Merchant’s return and refund policy.
- Customer has the right to request a refund on any product that has been returned to a Merchant but such right shall be governed by the relevant terms of the Merchant’s own return and refund policy.
- Boutir does not play any role in facilitating returns, requesting refunds or intervening on Customers’ behalf regarding returns or refunds.
5. Merchant’s Use of Customer’s Personal Information
- The Merchant is the information controller and processor who will collect and use any personal information that Customer provides through the Platform for purposes not limited to the following:
- to supply the product and/or services to you;
- to process your payment and delivery for the products and/or services; and
- with your consent, to provide you information on product updates and promotions that the Merchant
- Any Merchant’s use of personal information provided by Customer shall be governed by the Merchant’s own terms of sale, terms of service and/or privacy policy and Boutir has no part of this.
- The Merchant is solely responsible for how to store and process your personal information collected from the Platform. You should contact the Merchant if you want to access, update or remove your personal information. Boutir does not store or process any personal information apart from information contained in the Account Information, such information is never shared with Merchants or third parties and is subject to Boutir’s Privacy Policy, the details of which can be found here: Privacy Policy http://www.boutir.com/privacy.
Part C – Merchant’s Terms of Service
In addition to the Terms, the following additional terms shall apply to all Merchants:
1. Subscription Terms
- When you initially subscribe to a Subscription Plan, you will be charged immediately for the initial term of 1 month, 1 year or 2 years at the then-current subscription fee for the applicable subscription tier. Unless you terminate your Subscription Plan, your subscription will automatically renew upon the expiry of the initial term and/or at the end of each subsequent renewal term at the then-current subscription fee.
- By subscribing to the Subscription Plan, you authorise Boutir to charge the applicable recurring subscription fees through your designated billing payment method.
- You will be charged in advance for the renewal term of the Subscription Plan on the applicable billing date (the “Charge Date”). The subscription fee charged on the Charge Date applies to the subscription period immediately following the Charge Date (e.g., the calendar year immediately following the Charge Date).
- We may increase the price payable for any Subscription Plan, effective on the first day of a renewal term by giving you 30 days notice of the latest subscription fee before the beginning of the renewal term. If you do not cancel your subscription, you shall be deemed to have accepted the latest subscription fee for that renewal term and any subsequent renewal terms.
- We may also reduce the subscription fees, with the reduction becoming effective on the next renewal term and without any pro rata reimbursement for the preceding subscription period covered by the reduced subscription fee.
- You may update any of your billing information (including a change to your desired billing payment method) through your account settings or by contacting Boutir at cs@boutir.com.
- In the event of a dispute between the Merchant and Boutir in relation to any issues arising out of or in connection with the subscription services, Boutir shall have the full discretion to determine the issue and its decision shall be final.
- You agree to pay the subscription fees applicable to your plan and any other applicable fees, including but not limited to applicable fee which is computed as a certain percentage of the sales revenue generated through your store website with us (“Monthly Maintenance Fee”), and any fees relating to your purchase or use of any other products or services offered by us from time to time (collectively the “Fees”). We will serve you the notice or invoice of the Fees applicable to you by sending to your email address or by other means authorized by you.
- You may be required to keep a valid payment method on file with us to pay for all incurred and recurring Fees. Your subscription will automatically renew and you authorize us (without notice) to collect the then applicable subscription fees, using any valid payment source we have on record for you.
- All late payments shall bear interest at the rate of one percent (1%) per month, calculated daily. We have the right to suspend part or all of the functions of your store website until all outstanding amounts and interests accrued thereon are paid in full.
- We reserve the right to set off and apply any and all monies or credits that are owed to you against any and all of your obligations to us, whether or not your such obligations arise from these Terms or any invoices, orders, agreements or contractual relationships between you and us or any of our affiliates.
- Our fees are exclusive of applicable sale, good and service taxes, fees or charges now in force or enacted in the future. All sums payable by you to us under the Terms shall be free of any deductions or withholdings.
- If your applicable subscription plan charges a Monthly Maintenance Fee, the Monthly Maintenance Fee is calculated by multiplying Monthly Total Online Sales Revenue (as defined below) by a given percentage. Your applicable percentage is stated in your plan detail or the notice or invoice appearing sent to you via email or by other means in writing.
- Monthly Total Online Sales Revenue is defined as the aggregate order amount of all orders placed through your store website powered by Boutir for that particular month, but excluding the following orders of which (a) the order status is “Failed” or “Expired”; or (b) the order status is “Cancelled” and the payment status is not “Paid”. For the avoidance of doubt, the “order amount” in the preceding sentence represents the gross amount paid by the buyer who places an order through your store website powered by Boutir and may include any logistics fees, shipping costs and sales taxes, if they are paid by the buyer to you under such order.
- Monthly Maintenance Fee and Monthly Total Online Sale Revenue shall be computed based on the data in our system and records.
2. Fair Use Policy
In order to provide a reliable and high-quality service, Boutir has a Fair Use Policy ("FUP") in place to establish an equitable balance across Services for all Merchants. The purpose of this FUP is to prevent excessive use that may unreasonably impact the availability of the Service for other users.
The FUP applies to this Agreement in respect of the Service provided by Boutir and to the online store (website), transactions and customers created by using Boutir’s Services. Whilst Boutir undertakes to handle the website traffic on behalf of all its Merchants, if an unreasonably large amount of traffic is detected to be generated for an individual Merchant, or that automated behaviour is detected, this Fair Usage policy will apply.
Our Fair Usage for any Service with unlimited usage or without stating the usage limit is based on regular usage of 1 Merchant, determined to be 500 sms sent in a month for member registration and login, 10,000 transactions in a day. Boutir reserves the right to charge the Merchants for the additional usage after reaching the fair usage level.
Furthermore, any changes to Fair Usage can be determined by Boutir at its sole discretion and may be calculated from the online store traffic made by a Merchant and comparing this against other Merchants, or otherwise by virtue of the experience of Boutir in dealing with the Merchant's individual requirements and the conduct of their account.
If we in our sole opinion decide that your usage does not reflect the Service being subscribed to, your online store may be restricted until your next subscription cycle.
For any unreasonably high usage or sharing of login details outside of the original Merchant with the Subscription, Boutir reserves the right to block or permanently delete your account without any notice. No claim of any sort in this regard will be accepted and no refunds will be issued. By using our Service, you commit us that any of your claim/dispute in this regard raised by you or by your bank will be automatically rejected.
3. Merchant’s Additional Warranties
- Merchant is solely responsible for all advertising, promotions, loyalty-based offerings made available to Customers (each an “Offer”) and all other Content including but not limited to branding, trademarks, logos, data, text, images, graphics that it posts on our Platform.
- The Offer and other Content are provided and solely determined by Merchant. Merchant is solely responsible for ensuring the accuracy, reliability, integrity, quality and validity of the Offer and Content.
- You represent and warrant that you own or have the necessary licenses, rights, consents, permissions and releases for your Content and to grant the licenses and rights set out in the Terms and these terms that apply solely to Merchants. You are also responsible for any fees, royalties or other monies owing by reason of any Content you provide.
4. Billing authorisations for free trials
From time to time we may offer free trials for Subscription Plans. To register for a free trial, you may be required to provide an applicable billing payment method. In the event that you subscribe to the free trial, you agree to give Boutir a pre-authorisation to charge for the subscription fee that will be applicable for the Subscription Plan if you continue with the Subscription Plan after the free trial expires. It is possible that some financial institutions may perceive these requested amounts as actual pending charges. These are not actual charges, and Boutir will not be responsible for any results, such as an overdraft fees, that may occur with your account as a result of such authorisations.
No refund of any amount paid shall be granted under any of the following circumstances: (a) the conversion of a free trial to a paid service; (b) the collection of any fee for any active membership or other subscription service; or (c) the collection of fees or other payment for any other product or service.
5. Cancellation of a Subscription Plan
- You may cancel your subscription at any time by following the instructions set forth on our Platform. Once you have cancelled your subscription, Boutir will suspend the auto-subscription fee renewal for you until and unless you re-subscribe. All of the fees paid and charges made prior to termination are non-refundable. Termination of your subscription shall not relieve you of any obligations to pay accrued charges. Your Subscription Plan will terminate on the date that is the day following your last charge cycle.
- In the event that you re-subscribe while an existing Subscription Plan is active, your existing Subscription Plan will end on the original expiry date and your subscription will be extended to the new expiry date.
- You agree that Boutir, in its sole discretion, without prior notice, may freeze or terminate your Subscription Plan for reasons, including but without limitation to your breach of these Terms.
- Boutir may also in its sole discretion, and at any time, modify or discontinue any Subscription Plan, or any part thereof, without notice. Additionally, Merchant hereby agrees that Boutir shall not be liable to you or any third-party for any claims or direct or indirect loss arising out of or in connection with the interference with, or termination of, the Merchant’s access to the Subscription Plan.
This translation is provided for your convenience only. Each party agrees that the agreement is entered into in the English language. In the event of an inconsistency between the translation and the English version, the English version shall prevail.
甲部 – 一般條款
本使用條款 (下稱「條款」) 規限閣下使用及閱覽我們的服務,包括我們的網站、流動應用程式、應用程式介面 (API)、通知及當中顯示的任何資料或內容 (統稱為我們的「平台」) 。
使用我們的平台已等同同意使用條款,並構成閣下與掌舖 (Boutir) 之間就使用及閱覽我們的平台訂立之合約,此合約具有法律約束力。如閣下正作為一實體的代表使用我們的平台,即視作閣下具有權限代表該實體,並代表該實體同意這些條款。
除一般條款以外,顧客請點擊此處查閱針對適用閣下使用我們平台之附加條款;而商戶請點擊此處查閱適用閣下使用我們平台之附加條款。
1. 定義及解讀
以下定義適用於本使用條款:
我們/掌舖 (Boutir):於香港註冊登記的掌舖有限公司 (Boutir Limited),地址為中國香港特別行政區九龍觀塘巧明街6號德士活工業中心1201-1204號,公司網址為 http://www.boutir.com。閣下/用戶:任何以商戶、顧客或一般瀏覽者身分閱覽或使用我們的平台之人士。商戶:以業務實體/個人名義登記,使用平台創建網上商店,並透過我們的平台銷售產品或服務之付費及非付費平台用戶。顧客:以業務實體/個人名義登記,前往商戶的網上商店之註冊及非註冊會員。
2. 閣下的表述
- 我們的平台並非為未成年人士而設,亦不可被未成年人士使用。閣下使用我們的平台,即表述閣下為一名成年人士,且具有能力合法訂立合約性質協議。
- 如閣下正代表一實體使用平台,使用平台即表述閣下有必要的權利及已獲授權代表該實體同意本條款、我們的私隱政策 http://www.boutir.com/privacy 及在此提述的其他文件。
3. 我們的平台
- 我們的平台僅為一個按需即用軟件 (SaaS) 的解決方案,讓商戶能夠建立及營運其網上商店,以展示其產品和/或服務目錄、銷售產品/服務、為顧客提供付款渠道,以及透過第三方平台 (不限於WhatsApp及Facebook) 協助商戶及其客戶溝通。商戶可於我們的平台註冊,使用免費試用服務,或透過訂閱模式使用進階服務 (訂閱計劃)。
- 商戶於掌舖平台上創建的商店將開放予顧客,讓其訪問、瀏覽及購買心儀產品及服務。顧客可於商店註冊為商店會員,以享有個人化購物體驗,亦可於不註冊成為會員的情況下以訪客身分購物。
4. 閣下的帳戶
- 於我們的平台註冊成為商戶,或成為會員以享有個人化購物體驗,均須提供指定資料,包括但不限於閣下的用戶名稱、密碼、用戶個人的完整姓名或業務實體名稱、合適的密碼、電郵地址以及有效電話號碼 (「帳戶資料」)。商戶毋須提供用戶名稱,以電郵、商店名稱及/或商店網址連結辨識身分。閣下同意提供全數真實、準確及最新的帳戶資料。閣下應選用安全而高強度的保安密碼,並必須將密碼保密。
- 閣下同意不會分享閣下的帳戶資料或把帳戶的閱覽及使用權給予他人。如我們偵測到多個用戶分享一個帳戶,將視之為違反安全守則,並暫停或終止閣下的帳戶。如我們具有合理原因認為閣下正違反使用條款,我們有權隨時暫停、禁用或終止任何帳戶,而毋須承擔任何責任。
- 除非閣下向我們事先報備帳戶有被誤用的情況,任何經由、透過或藉著閣下帳戶發生的行動均由閣下負責。如閣下允許他人使用閣下帳戶及/或帳戶資料,閣下亦須為相關用戶就與閣下帳戶及/或帳戶資料關連的行動負責。
- 如閣下忘記帳戶資料,或相信/知悉閣下帳戶及/或帳戶資料於未授權下被使用或被試圖使用,閣下須立即透過電郵 report@boutir.com 通知我們。
- 所有帳戶均不可轉讓。如閣下正代表另一人或實體去閱覽或使用我們的平台帳戶,則視作閣下具有權限去代表相關人士或實體接受本使用條款;如閣下違反本使用條款,相關人士或實體同意承擔責任。
- 嚴禁使用攻擊性或公然冒犯字眼、蓄意欺瞞訂閱者,或錯誤引導與掌舖之間的業務關聯等信息作為商店名稱及用戶名稱。我們保留以下權利:
- 如我們有合理原因相信商店名稱或用戶名稱違反使用條款,我們有權直接更改任何商店名稱或用戶名稱而不須事先通知;
- 如我們有合理原因相信商店名稱或用戶名稱違反使用條款,我們有權暫停及/或禁用閣下帳戶,直至相關名稱更改至符合使用條款。
5. 我們的服務的可用性
- 我們持續更改及改善我們的平台及平台上提供的產品或服務。我們或不時更改或停止任何平台上提供的產品或服務,或增加、移除功能或特點,並可暫停或全面終止若干產品、服務、功能、特點。我們保留作出上述安排,而毋須事先通知閣下之權利。
- 我們或發佈仍在測試及評估的產品、服務、功能或特色,而我們會把該等服務標籤為「測試」、「預覽」、「早期閱覽」、「試用」或任何含有類似涵義的詞彙。閣下如繼續使用我們的平台,則視作了解這些測試功能或不如我們提供的其他產品或服務般穩定可靠,亦可能出現服務受干擾或間斷的情況,而閣下亦同意本使用條款同時適用於相關測試功能。我們保留限制閣下使用我們的平台及服務的權利,包括:如我們相信閣下正違反使用條款或錯誤使用我們的平台或任何服務時,我們有限制、暫停或終止閣下帳戶的權利。
- 我們將盡量確保我們的平台正常運作,但並不擔保平台在使用及瀏覽時能長期持續而不出現任何中斷。平台或會因保養、維修、升級、網絡或設備故障而中斷。於任何情況下,掌舖均不會為任何因平台服務干擾或中斷所引起的損失承擔任何責任。
- 為有效瀏覽我們的平台,閣下有責任配置適合的資訊科技、電腦程式及平台或系統。掌舖並不擔保平台沒有漏洞或病毒,亦不會對任何我們的平台存在之漏洞、失靈或因使用我們的平台而感染病毒所引起的直接及/或間接損失或傷害承擔任何責任。
6. 使用平台
- 閣下在使用或閱覽平台時,同意遵從使用條款及所有適用法律及監管規定,包括有關個人資料或私隱的法律及有關知識產權的法律。
- 閣下可以免費試用的方式使用平台,但我們亦設有訂閱制度作商業用途。根據本條款,於任何原因、情況及時間下,掌舖保留更改或撤除平台及/或平台的收費制度之權利,而不須作事先通知,亦毋須承擔任何責任。
- 閣下作為顧客或商戶於平台註冊付費訂閱服務後,我們將允許閣下閱覽及使用我們的平台,包括任何作為我們提供的服務的一部分的軟件或應用程式。這項許可權只屬閣下個人,全球通用,不需額外使用費,不可轉讓、轉移或再授權,但可隨時撤回;此許可權僅用作以使用條款,以及乙部及丙部附加條款准許的方式,作為顧客或商戶使用我們平台及享有平台使用者的專屬待遇。
- 如閣下無法遵從本使用條款以及其他附加條款,我們將終止閣下使用平台的許可權。
- 閣下同意不會誤用平台,或協助任何人誤用平台。閣下同意不作以下陳述之行為,包括使用我們的平台作非法或未經授權的用途:
- 複製、修改、分發、銷售、出租、借出或買賣平台的任何閱覽權或平台上任何數據或資料。
- 再銷售在平台上可用的任何數據、內容或資料,或企圖以商業方式從平台上可用的任何數據、內容或資料中取得利益;
- 探查、掃描或測試任何系統或網絡的弱點;
- 違反或以其他方式規避任何安全或認證措施或服務使用限制;
- 閱覽、干預或使用平台的非公共範圍或部分;
- 干擾或擾亂任何用戶、主機或網絡,例如透過發送病毒、木馬程式、蠕蟲、邏輯炸彈或任何其他惡意或技術上有害的內容、對平台的任何部分加重負荷、超量傳送、發送垃圾郵件或電郵炸彈,或編寫干擾平台或對平台造成過量負擔的任何內容;
- 反向策劃、反編製、拆解、破解或以其他方式企圖衍生平台或任何相關而非開放源技術的原始碼;
- 以我們公開支援界面以外的任何 (自動或其他的) 方式 (例如:「刮除」或大量創建帳戶) 閱覽、搜尋或創建平台帳戶或企圖作出上述行為;
- 發送未經要求的通訊、推廣、廣告或垃圾郵件;
- 在任何電郵內偽造任何TCP/IP數據包標題或標題資料的任何部分;
- 發送經改動、具欺騙性質或錯誤識辨來源的資料,包括「詐騙」或「網路釣魚」;
- 在沒有適當的授權下進行調查、比賽、層壓式計劃、推廣或宣傳產品或服務;
- 濫用轉介或推廣;
- 發佈、發行、上傳、展示、分發或分享非法、不當、具褻瀆成分、色情、淫褻、不雅、涉及誹謗、毀謗、粗穢、或明知屬虛假的及/或侵犯知識產權權利的內容;
- 違反我們的使用條款字句或精神;
- 以任何方式違反適用法律或規例;或
- 違反私隱或侵犯其他人的權利。
7. 閣下的權利
- 我們給予閣下建基於本使用條款的前提下使用我們的平台作為個人或業務用途的許可權,而此許可權全球通用,限量提供,非獨家,不可轉讓、轉移、再授權,不需額外使用費,但可隨時撤回。
- 未經我們事先書面同意,閣下不得轉讓閣下於本條款中界定的權利。 我們有權自行決定把條款或與條款相關的責任及義務作委派安排。
- 在適用的法律下,我們以最大程度保留上述許可權未明確授予的所有權利、擁有權及利益。
- 閣下保留透過平台提交、發佈或展示的任何資料或內容 (「閣下的內容」) 的權利。透過提交、發佈或展示該等內容,閣下許可我們使用、處理、複製、重製、改編、修改、發行、傳輸、展示和分發該等內容,以及於所有媒體或任何分發渠道 (現時 已知或未來開發的) 使用。這項許可權全球通用,非獨家,不需使用費 (含可再授權使用之權利),惟受我們的私隱政策

- 閣下對閣下的內容之使用及其任何後果具有責任,包括其他用戶或第三方使用閣下內容的任何後果。 閣下的內容之使用,或任何由其他用戶或訪覽者提交或發佈的內容,我們概不負責。
- 閣下保證閣下的內容沒有和不會侵犯任何第三方的權利,且閣下有所有必要的權利、權力和權限去履行這些條款下有關閣下的內容的義務。
8. 我們的權利
我們可 (自行酌情決定但並無義務) 檢視用戶在我們平台上提交或發佈的內容或資料。如我們認為內容令人反感、有害、涉及欺詐、歧視、誹謗、具有誤導成分、涉及侵犯第三方權利,或任何其他不適宜的原因,我們將保留刪除內容的權利。任何用戶在我們的平台上表達的任何意見均屬個人發表,不代表我們的立場。
9. 知識產權
- 不論有否註冊,我們的名稱「掌舖 (Boutir)」、標記及標誌為我們的商標。未經我們事先的書面同意,不得使用。
- 平台上任何性質的所有商標、商號、服務標記、標誌、版權、數據庫權利及其他知識產權,包括所有資訊、數據、文本、音樂、聲音、圖像、照片、圖形、插圖及影片信息、頁首頁眉、按鈕圖標、文稿、編排及展示方式,以及底層軟件代碼、源代碼、 軟件編制、工具、應用程式、標語、篩選工具、用戶生成的篩選工具及其中包含的其他內容 (統稱為「素材」),均屬我們直接擁有。閣下確認閣下對素材的任何部分均無所有權。我們保留就適用於素材的任何權利採取任何法律行動的全數權利。
- 平台或我們提供的產品或服務中存在的所有知識產權均屬我們所有,或已獲合法許可予我們。因此,我們保留適用法律下賦予我們的所有權利。
- 閣下可查看、使用、列印或下載素材之摘錄內容供閣下個人使用,惟未得我們明確提出書面許可,不能以其他方式使用、複製、編輯、改編、修改、重製、發佈、展示、分發、儲存、傳輸、作商業用途或傳播相關素材,或使用相關素材以誘導他人聯想 或產生相關內容屬閣下所有之印象。
- 以下為舉報侵犯知識產權的資訊:
- 針對侵犯他人知識產權的用戶,我們設有限制使用或終止帳戶的政策。如閣下認為知識產權權利被侵犯,請透過電郵 report@boutir.com 與我們聯絡。
- 如閣下故意曲解我們平台上的活動、內容或素材為侵權行為,或需向我們承擔相關費用及為造成的損害作出賠償,敬希垂注。
10. 爭議解決
於情況許可下,掌舖鼓勵顧客與商戶直接溝通以解決任何爭議 (包括要求退款等)。掌舖於任何顧客及商戶之爭議或紛爭當中,不會擔任調解角色。
11. 第三方軟件技術整合
我們的平台或整合第三方軟件的技術,從而為用戶提供全面的配套功能。我們對使用任何第三方軟件所引致的任何問題及/或直接及間接損失,概不負責。閣下閱覽及使用第三方軟件的權利受該軟件的使用條款及/或締約約束。
12. 平台廣告商
我們對平台上的廣告不承擔任何責任。 如果閣下同意向於平台上刊登廣告的任何商戶或第三方購買商品和/或服務,閣下將須自行承擔風險。 廣告商及商戶 (如商品或服務為透過其中一位商戶購買),須對此類商品和/或服務負責,如閣下對此有任何疑問或投訴,向他們提出反對將是唯一辦法。
13. 法律責任限制
- 在法律准許的最大範圍內,我們 (包括我們的控股公司、附屬公司、關聯公司、董事、成員、僱員、代理、代表、合夥人和特許人 (統稱為「我們的實體」)) 明文地限制我們與平台或與平台相關而引起的法律責任如下:
- 我們以「現狀」及「現在可用」的基礎提供平台及我們提供的任何產品或服務,而閣下須自行承擔閱覽或使用我們平台的風險;
- 我們並不就平台及我們提供的任何產品或服務作出任何形式 (無論明示或隱含的) 擔保、表述或保證;
- 我們並不擔保閣下在平台上獲取的資料或內容全然準確、真實、完整及適時;
- 我們明文地免除對所有保證及表述 (例如:對可商售品質、就特定用途的適用性及非侵權的保證) 的責任;
- 我們並不對我們的平台中的任何延誤、干擾、缺陷、病毒、漏洞或錯誤負有責任;及
- 我們並不對平台的任何用戶提交或發佈的任何內容、資料或其行為 (無論線上或線下) 負有責任。
- 我們於平台主要為機械操作及行政管理的角色。在法律准許的最大範圍內,我們的實體並不對閣下或其他人使用我們的平台或我們提供的任何產品或服務有關的:
- 任何間接的、附帶的、特殊的、懲戒性的、相應而生的或懲罰性的損害賠償;或
- 任何數據、業務、機會、聲譽、利潤或收入的損失負有法律責任。
- 使用條款不會限制閣下作為消費者具有而不可被合約免除的法律權利。
- 除根據法律規定我們不能限制的法律責任類型外,我們的實體對閣下負有的法律責任 (總額) 僅限於最近的十二 (12) 個月內,閣下就使用我們的平台或就我們提供的任何產品或服務已經向我們繳付的金額 (如有)。
14. 彌償
- 閣下同意就以下情況相關或因而產生的所有法律責任、損害賠償、申索、成本 (包括法律費用及成本) 及支出作出彌償並使我們的實體不受損害:
- 閣下違反使用條款、
- 任何顧客與商戶之間的購買及銷售活動、
- 閣下使用我們的平台及/或
- 閣下於我們的平台上作出任何失實陳述。
- 閣下亦同意就對我們的平台或使用條款相關或因而引起的申索抗辯或和解中與我們全面合作。
- 對於閣下需要彌償的任何事宜,我們保留獨立抗辯及控制的權利,費用由閣下承擔。此外,閣下同意對任何申索彌償進行抗辯時,與我們全面合作。我們得悉任何此類索賠、行動或司法程序後,將於合理範圍內盡力適時通知閣下。未經我們事先作出書面批准,不得作出可能對我們的權利或義務產生不利影響的和解。
- 如遇任何第三方索賠個案,閣下同意適時通知我們,並與我們合作為此類索賠抗辯,同時支付與為此類索賠抗辯相關的所有費用、成本及開支,包括但不限於法律費用。 閣下確認未經我們事先作出書面同意,不會就閣下對我們負有賠償義務的任何事項作出協議或和解。
15. 終止
- 這些條款會持續適用,直至由閣下或我們根據以下情況終止為止。我們保留權利,以自行決定隨時終止、撤銷、暫停閣下到訪或使我們的平台或其任何部分權利及能力;控制使用平台、請求閣下停止到訪或永久銷毀通過平台發佈的內容或信息之權限,而恕不另行通知。我們亦或會修改、暫停或終止平台。對於任何因我們終止到訪或使用我們平台而引起的損失或傷害,我們概不負責。
- 如閣下為付費商戶或註冊顧客,可隨時透過關閉帳戶以停止使用平台,或直接停止閱覽或使用我們的平台。
- 如我們對以下情況有合理懷疑,我們保留暫停或終止閣下對我們平台的閱覽權利:
- 閣下正嚴重或重覆違反使用條款 (包括長期未有清償任何款項);
- 閣下使用平台的方式會對我們、其他用戶或公眾構成造成損害或損失的實質風險;
- 我們受政府或監管機構要求,或根據適用的法律、規例或法律程序的要求而執行;或
- 我們不可能,或因商業上不可行,再向閣下提供平台。
- 在以上任何情況下,我們會透過與閣下帳戶有連結的電郵地址或在下一次閣下企圖閱覽帳戶時通知閣下 (除非我們被法律禁止通知閣下)。
- 在閣下的閱覽權終止時,使用條款亦會終止,惟7-15項條文除外。
- 我們認為必要或適當時,會向執法機構舉報任何違反使用條款 (或可接受使用政策) 的情況,並將與該等機構合作,向他們披露閣下的身份及提供我們系統內有關閣下的任何資料。
16. 系統需求
- 要使用我們的平台,閣下須配置流動裝置、桌面電腦或手提電腦、互聯網連結以及符合必要的最低系統需求 (「系統需求」)。
- 系統需求如下:應用程式需要安卓 (Android) 6.0及/或iOS 13.0或更新的運作系統。
- 我們的平台軟件功能及系統需求或會不時升級,以應付更多新功能及服務。
17. 完整協議
- 這些條款構成任何用戶與我們之間就使用平台的或平台上任何交易的完整協議。這些條款取代及終絕任何用戶與我們之間就使用平台或平台上任何交易的 (不論是書面或口頭的) 所有其他協議、承諾、擔保、保證、表述及理解。
- 閣下確認不會就沒有在這些條款中列明的任何 (不論是無意地或疏忽地作出的) 陳述、表述、擔保或保證而獲得任何補償。
18. 無效條款
- 如本使用條款的任何部分被認定為非法、無效、不成立或無法執行,則此類內容將被視作與其他條款內容分開,並應盡可能以反映人雙方制訂條款之意圖解釋 (如條款反映);而所有其他條款內容將全數保持有效。
- 除非掌舖以書面確認同意,否則即使掌舖或未有行使或強制執行本使用條款,亦不構成免除相關權利,我們之後仍可行使相關權利或強制執行本使用條款。
19. 條款變更
我們可透過在我們的平台上發佈已更新的條款而不時修訂這些條款。如我們作出重大更改,我們會在相關更改生效前通知閣下。在相關更改生效後繼續使用我們的平台及服務,即意味著閣下同意受經修改的政策所約束。
20. 其他重要條款
- 我們可轉移我們在使用條款下的權利及義務予另一機構。如我們有此等計劃,將通知閣下。如閣下不欲與承讓人維持合約,可在我們通知閣下擬作轉移後的十四 (14) 天內與我們聯絡以結束合約,而我們會退還閣下已事先為任何未提供的產品而支付的任何款項。
- 閣下僅可在我們書面同意下方可轉移閣下在這些條款下的權利或義務予另一人士。
- 如法院認為本合約有部分屬違法,其餘部分會繼續有效。這些條款的各段獨立運作。如任何法院或相關當局決定任何條款的段落屬違法,餘下的段落會維持具有十足效力及作用。
- 無人須對因不可抗力而導致的任何違約行為承擔責任,包括超出雙方合理控制範圍的任何情況。
- 使用我們的平台,即表示閣下同意以電子方式接收我們的通信。閣下同意我們以電子方式向閣下提供的一切通知、披露資訊及其他通信均符合與書面通信同等的任何法律。閣下同意閣下具備儲存電子通信資料的能力,並能維持相關資料可於格式不變的情況下供閱覽。
- 即使我們延遲強制執行本合約,我們之後仍可以強制執行本合約。如我們沒有立即堅持閣下作出使用條款列明需要作出的任何行為,或如我們就閣下違反本合約而對閣下採取對應行動有所延遲,均不代表閣下不須作出該些行為,且並不阻止我們於某較後日期對閣下採取對應行動。例如,如閣下沒有付款,而我們沒有催促閣下並繼續提供產品,我們仍可以於某較後日期要求閣下付款。
21. 管限法律
- 這些條款受香港法律管限及須按照香港法律解釋。
- 香港特別行政區法院對解決因本使用條款引起或與之相關的任何爭議或索賠具有專屬管轄權。
22. 語言
如使用條款的中英文版本有歧義,將以英文版本為準。
23. 反饋
- 我們重視並歡迎用戶對平台作出反饋。閣下同意我們在沒有向閣下付款的情況下,可自由使用、披露、採用和/或修改由閣下提供的任何反饋及任何資料 (包括任何想法、概念、建議、提議或評論),並可在與平台、我們提供的任何產品或服務有關連的情況下使用。如對我們的平台、產品或服務,或本使用條款有任何疑問,歡迎透過電郵 cs@boutir.com ,或書面郵寄至中國香港特別行政區九龍觀塘巧明街6號德士活工業中心1201-1204號與我們聯絡。
- 閣下特此放棄,並同意放棄就對我們使用、披露、採用和/或修改閣下任何反饋的任何費用、使用費、收費或其他款項作出申索的權利。
乙部 – 顧客服務條款
除上述條款外,以下附加條款適用於所有顧客:
1. 於我們平台的註冊商店購物
- 客戶應按照我們平台提供的說明向商家下訂單。顧客向商家發出的所有訂單均視為出價,我們的平台會向閣下發送確認電郵,以示商戶接受訂單。至此,顧客與商戶已訂立合約,但或會受商戶個別條款細則及/或服務條款 (如有) 所約束。任何個人或實體就我們平台上的任何商品或服務之買賣交易,我們概不承擔任何責任;任何商戶與顧客之間,或顧客與任何負責履行任何購買交易的第三方之間合約義務的執行動作,我們概不負責;我們亦不會承擔任何買賣可能產生的或與之相關的任何直接和/或間接損害之責任。
- 一旦顧客下訂單並經商戶確認發貨或履行訂單,我們將向顧客發送電郵徵求對相關商品和/或服務的反饋。我們感謝顧客提供的任何反饋,其他顧客到訪相關商戶商店時,有關反饋將清晰可見。對於因任何反饋內容引起或與之相關的任何索賠,我們概不負責。
- 掌舖無法控制,亦因此不能擔保或保證於我們平台上提供或宣傳的產品或服務之存在、質量、安全或合法性;由商戶及/或用戶發佈的任何信息、內容或買賣資訊的準確度、完整度或真實度;以及任何商戶及/或用戶的信譽、商戶銷售能力或顧客購買能力、特定產品及/或服務是否適合特定目的、或特定商戶及顧客會否完成特定交易等。
- 閣下可於商戶網站查看各商戶公司資訊,包括公司背景、商店地址、聯絡電郵及電話號碼等。如對商戶網站、任何產品或服務有任何疑問,閣下可透過電話、電郵或線上信息與商戶聯絡。
- 我們不參與商戶與顧客之間的任何交易,我們的角色僅限於為商戶提供一個可以展示其商店的平台,作為一個商戶與顧客的市集。我們不代表商戶處理付款或協助完成交易,客戶應從商戶提供的方式中選擇他們偏好的付款方式。客戶亦必須選擇他們偏好的配送方式,包括商戶提供的配送方式,而所有付款及交付安排均受商戶的銷售條款以及電子支付供應商與履行服務提供商 (如有) 的相關條款約束。任何情況下,對於因付款和交付引起的和/或與之相關的任何問題或損失,我們概不負責。因此,我們的角色本質上只是執行機械及行政性質的工序,讓我們的平台有效供商戶建立及營運其網上商店。
- 透過我們的平台購買商品及/或服務時,閣下同意遵守我們不時套用的適用規則及政策。承諾訂購任何商品之前,閣下有責任閱讀這些條款、我們的隱私政策 http://www.boutir.com/privacy 以及相關商戶的其他適用規則及政策 (統稱為「管理條款」) 及/或服務。閣下下任何訂單將被視為已同意管理條款。
- 我們不是任何客戶或商戶或第三方的代理人。
- 我們可自行考量決定 (但沒有義務) 檢查、審計及/或監控任何顧客發佈的買賣資訊、意見及/或評論中包含的內容,而毋需通知相關顧客。
- 平台為網上商店創建的產品及/或服務圖片僅供說明之用,閣下購買的產品及/或服務或與此等圖片有所不同。
- 我們的平台僅用作於我們營運的所在國家/地區執行及購買商品及/或服務,但不限於香港。 我們的流動應用程式能於世界各地任何地方下載及閱覽使用。
2. 客戶更改已下訂單之權利
如任何顧客出於任何原因而決定更改已向商家下達的訂單 (「變更」),顧客應直接聯絡商戶。相關變更將受商戶的銷售條款所規限,掌舖不參與相關變更,也不會對因變更引起或與之相關的任何索賠承擔責任。
3. 顧客終止合約之權利
如顧客因不同原因 (包括但不限於所購買的全部或部分商品及/服務出現任何缺陷 (「終止」),而希望終止購買任何產品或服務的合約,他或她應直接與商戶聯絡。相關終止將受商戶的銷售條款所規限,而掌舖不參與終止過程,亦不會對因終止合約而引起或與之相關的任何索賠承擔責任。
4. 退貨及退款安排
- 顧客有權退回購自商戶的任何產品,但該權利將受商戶退貨及退款政策的相關條款約束。
- 顧客戶有權就已退回給商戶的任何產品要求退款,但該權利將受商戶退貨和退款政策的相關條款約束。
- 掌舖不會於處理退貨或要求退款等程序中擔當任何角色,亦不會代表顧客干預退貨或退款安排。
5. 商戶對顧客個人資料的使用
- 商戶作為資料掌控及處理者,將出於不限於以下目的收集及使用顧客通過平台提供的任何個人資料:
- 向閣下提供產品及/或服務;
- 處理閣下有關產品及/或服務的付款和交付安排; 以及
- 於閣下同意的前提下,為閣下提供商戶發佈的產品更新及推廣資訊
- 任何商戶對顧客提供的個人資料之使用方式將受個別商戶自行𨤳定的銷售條款、服務條款及/或私隱政策約束,而掌舖並無參與其中。
- 商戶須自行負責儲存及處理從平台收集得來個人資料。如欲閱覽、更新或移除閣下的個人資料,請直接聯絡商戶。掌舖不會儲存或處理除帳戶資料以外的個人資料,而此類資料亦絕不會與商戶或第三方共享,同時受掌舖私隱政策約束,詳細資訊可於私隱政策網頁查閱:http://www.boutir.com/privacy
丙部 – 商戶服務條款
除上述條款外,以下附加條款適用於所有商戶:
1. 訂閱條款
- 註冊訂閱計劃時,我們將即時按照對應訂閱級別及屆時的訂閱價格收取閣下首個訂閱期的費用,期限或為一 (1) 個月、一 (1) 年或兩 (2) 年。除非閣下終止訂閱計劃,否則於首個訂閱期屆滿及/或每個後續訂閱期結束時,系統將為閣下以屆時的訂閱價格自動續訂相關服務。
- 註冊訂閱計劃即表示閣下授權掌舖通過閣下指定的繳款方式收取適用的定期訂閱費用。
- 閣下將在適用的結賬日期 (「收費日」) 提前為訂閱計劃的續訂期限付費。 收費日當天收取的訂閱費用適用於收費日之後的訂閱期 (例如,收費日當天之後的日曆年)。
- 我們或會上調任何訂閱計劃的應繳款項,並於續訂期限開始30天前通知閣下最新的訂閱費用,而價格將於續訂期限前生效。如閣下不取消訂閱服務,則將被視為已接受該續訂期及任何後續續訂期的最新訂閱費用。
- 我們亦或會降低訂閱應繳款項,減免會於下一個續訂期生效,並不會按比例報銷降幅生效前的訂閱期價格。
- 閣下可通過帳戶設定或以電郵 cs@boutir.com 聯繫掌舖,以更新任何賬單資料 (包括更改閣下選用的繳費方式)。 來更新閣下的任何賬單信息(包括更改閣下所需的賬單支付方式)。
- 如商戶與掌舖之間就訂閱服務引起或因與之相關的任何問題發生爭議,掌舖將保有決定處理方式的徹底權利,而其決定將為最終決定。
- 閣下同意支付訂閱的服務計劃之費用及及任何其他適用費用,包括但不限於閣下通過我們的網站商店所產生的銷售利潤當中的特定百分比 (「每月維護費」), 以及任何與閣下購買或使用我們不定期提供的任何其他產品或服務相關之任何費用 (統稱為「費用」)。 我們將透過閣下電郵地址或其他閣下授權的通信方式,通知閣下適用之費用及提供相關發票。
- 閣下或需於我們紀錄中保留一項有效的付款方式,以支付所有已衍生及恆常費用。閣下的訂閱服務將自動續訂,同時閣下授權我們 (恕不另行通知) 使用我們紀錄當中,屬於閣下的任何有效付款方式,以收取當時適用的訂閱費用。
- 所有逾期繳付之款項將衍生利息費用,每日計算,利率為每月百分之一 (1%)。 我們有權暫停閣下商店網站的部分或全部功能,直至閣下付清所有未付金額及應計利息。
- 我們保留將虧欠閣下的任何及所有款項,或回贈金額與閣下對我們的任何及所有義務相互抵銷的權利,而此類義務是否源於本使用條款或任何閣下與我們或任何附屬公司之間的發票、訂單、協議或合約關係,不會對此權利構成影響
- 我們的費用不包括適用之銷售稅、商品稅及服務稅,或現時生效或將來制定之費用或收費。閣下不應扣減或拒付本條款下對我們的應繳款項。
- 如閣下使用的訂閱計劃收取維護月費,維護月費的計算方法則為月份的總網上銷售利潤 (定義見於下文) 的指定百分比。閣下訂閱計劃的指定百分比於計劃詳情中,或電郵或其他書面方式通知時,或於相關發票中有清楚列明。
- 月份的網上總銷售利潤定義為當月閣下透過掌舖支援的商店網站下達的所有訂單之總訂單金額,但不包括以下訂單,其中 (a) 訂單狀態為「失敗」或「已逾期」; (b) 訂單狀態為「已取消」,而且付款狀態並非「已付」。為避免疑問,上述的「訂單金額」意指買家通過閣下商店網站下單所支付的總金額,如買家於訂單中一併向閣下支付,該金額則可能包括任何物流費用、運費及銷售稅等。
- 維護月費和月份的網上銷售總利潤將根據我們系統及紀錄中的數據計算。
2. 公平使用政策
為提供可靠及優良質量的服務,掌舖制定公平使用政策,為所有商戶享用服務期間能建立符合公平原則的平衡狀態。 此政策目的在於預防過度使用服務,致使其他用戶享用服務的過程中遭受不合理的影響。
公平使用政策適用於針對掌舖就提供服務及使用掌舖服務創建的網上商店 (網站)、交易及客戶而訂立的本協議。掌舖承諾代表其所有商戶處理網站流量,惟如有個別商戶產生不合理的大量流量,或任何自動化行為獲系統檢測,將列入本公平使用政策規管之範圍。
對無限用量或未設有用量限制的任何服務,一個正常使用服務的商戶之公平使用定義基準為每月發送500條用於會員註冊及登入之短信,以及每天10,000項交易,而掌舖保留向超越合理用量之商戶收取額外使用費用之權利。
此外,掌舖可自行決定對合理使用的定義作出任何更改,亦可根據商戶的網上商店流量,將其與其他商戶比較作計算評估,或根據掌舖對商戶認知的個別需求及其帳戶往績作計算。
如我們單方面認為閣下訂閱之服務未能涵蓋實際用量,閣下的網上商店或會受限制,直至下一個訂閱週期開始。
如商戶使用訂閱服務期間有不尋常,不合理的過高用量,或與原先訂閱的商戶以外之人士或實體共享帳戶資料,掌舖保留封鎖或永久刪除閣下帳戶的權利,而恕不另行通知。此情況下,任何形式的索賠均不會獲受理,亦不會設有退款。閣下如使用我們的服務,即表示向我們承諾,閣下或閣下銀行就此提出的任何索賠/爭議將被自動拒絕。
3. 商戶之附加保證
- 商戶對所有透過我們的平台向顧客發放的廣告、推廣、建基忠誠度之產品服務 (統稱為「提案」) 及一切其他內容,包括但不限於品牌、商標、標誌、數據、文本、圖像及視覺圖形負有完全責任。
- 提案及其他內容全數由商戶自行決定及提供,商戶對相關提供及內容之準確、可靠、真確、質素及效力負有完全責任。
- 閣下聲明並保證閣下持有或擁有上述內容所需的許可、權利、同意、允許及發佈權限,並具有本使用條款及針對商戶之條款中訂定之許可及權利。閣下同時亦對任何因閣下提供的內容而引起的費用、特權權使用費或其他衍生款項負有責任。
4. 免費試用之賬目授權
我們或會不時提供各訂閱服務的免費試用計劃,註冊免費試用計劃或需提供適用的繳款方式。如閣下訂閱免費試用計劃,則表示同意預先授權掌舖收取適用於該訂閱計劃之費用。如閣下於免費試用期滿後繼續訂閱相關服務,部分金融機構或視費用為實際待繳款項。此類款項並非實質收費,而閣下帳戶因此類授權而產生之任何結果,例如透支費用等,掌舖概不負責。
於下列任何情況下,已支付的任何款項均不予退還: (a) 免費試用轉為付費服務; (b) 對任何活躍使用的會籍或其他訂閱服務收取的任何費用; (c) 對任何其他產品或服務收取的費用或其他款項。
5. 取消訂閱計劃
- 閣下可隨時跟隨我們平台上的指示取消訂閱服務。一旦閣下取消訂閱,掌舖將暫停自動訂閱及收取續訂費用,除非及直至閣下重新訂閱。所有終止訂閱前已支付的費用及款項均不設退還,而屬於閣下之已有應繳款項亦不會因終止訂閱而減免。閣下的訂閱計劃將於現時計劃訂閱期末的次日正式終結。
- 如閣下於現時訂閱計劃仍生效期間重新訂閱服務,現時之訂閱計劃則會於原到期日結束,而重訂之計劃則會延至新到期日方開始生效。
- 閣下同意掌舖可因為閣下違反本使用條款,但不僅限於此原因,自行決定對閣下帳戶進行凍結或終止訂閱,而毋須作任可事先通知。
- 掌舖亦可自行決定隨時修改或終止任何訂閱計劃或其任何部分,而不作另行通知。此外,商戶特此同意,掌舖將不會對閣下或任何第三方就任何因干擾或終止商戶閱覽或使用訂閱計劃而引起或與之相關的索賠、直接或間接損失承擔任何責任。
